Terms of Service

Please read these Terms of Service carefully before using the Creato platform. By accessing or using Creato, you agree to be bound by these terms. If you do not agree, do not use the service.

1. Definitions

  • "Creato" refers to the platform, software, and services provided by Creato.
  • "Agency" means the talent or creator management company subscribing to the platform.
  • "Creator" means the content creator or influencer whose accounts are connected to the platform.
  • "Client" means a brand or buyer who is granted access to view analytics via the Agency.
  • "Account Data" means the analytics and performance data retrieved from connected social media accounts via OAuth.

2. Eligibility and account registration

You must be at least 18 years old and acting on behalf of a legitimate business to use Creato. By registering, you represent that all information you provide is accurate. You are responsible for maintaining the security of your account credentials.

3. Permitted use

Creato is licensed to you for lawful, business use in accordance with these Terms. You agree not to:

  • Use the platform for any unlawful purpose or in violation of any applicable regulations.
  • Reverse engineer, decompile, or attempt to extract the source code of any part of the platform.
  • Resell, sublicense, or otherwise transfer access to the platform to third parties without prior written approval.
  • Attempt to gain unauthorised access to any part of the platform or its underlying systems.
  • Use automated scripts to scrape, extract, or abuse the platform in ways not authorised by Creato.
  • Misrepresent analytics data to clients or use the platform to deceive any party.

4. Creator account connections

Creators who connect their social media accounts to Creato do so voluntarily via OAuth 2.0 authorization. Creato:

  • Accesses only the data and permissions explicitly granted by the creator through the OAuth flow.
  • Does not store social media passwords or credentials.
  • Does not publish content or perform any write operations on connected accounts.

Creators retain the right to revoke access at any time, through either the Creato platform or directly through the social media platform's account settings.

5. Client access

Agencies may grant read-only client portal access to their clients. Agencies are solely responsible for:

  • Obtaining the necessary consent from creators before sharing their data with clients.
  • Ensuring that data shared with clients is accurate and not misleading.
  • Managing and revoking client access as appropriate.

6. Subscription, billing, and payment

During the current beta phase, pricing is agreed individually. Once commercial plans are available:

  • Subscription fees are billed in advance, monthly or annually, as agreed.
  • All fees are exclusive of applicable taxes (including VAT), which will be added where required by law.
  • Subscriptions auto-renew unless cancelled at least 14 days before the renewal date.
  • Refunds are handled on a case-by-case basis at Creato's discretion.

7. Intellectual property

All rights, title, and interest in the Creato platform, including software, design, trademarks, and documentation, remain the exclusive property of Creato. These Terms do not grant you any ownership rights.

You retain ownership of your agency's data and any content you upload. By using the platform, you grant Creato a limited, non-exclusive licence to store and process that data solely to provide the service.

8. Confidentiality

Both parties agree to treat the other's non-public business information as confidential and not to disclose it to third parties without prior written consent, except as required by law.

9. Data protection

Your use of the platform is also governed by our Privacy Policy. Where Creato processes personal data on your behalf as a data processor, a Data Processing Agreement (DPA) is available upon request.

10. Disclaimer of warranties

The platform is provided "as is" and "as available." To the maximum extent permitted by law, Creato disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the platform will be error-free or uninterrupted.

11. Limitation of liability

To the fullest extent permitted by applicable law, Creato's total liability to you for any claim arising out of or relating to these Terms or the platform shall not exceed the fees paid by you in the 12 months preceding the claim. Creato is not liable for indirect, incidental, consequential, or punitive damages.

12. Indemnification

You agree to indemnify and hold harmless Creato and its officers, employees, and agents from any claims, damages, or expenses (including reasonable legal fees) arising from your use of the platform, your breach of these Terms, or your violation of any third-party rights.

13. Suspension and termination

Either party may terminate the agreement with 30 days' written notice. Creato may suspend or terminate your account immediately if you breach these Terms or engage in conduct that poses a risk to the platform or other users. Upon termination, your access to the platform ceases and your data will be deleted or made available for export within 30 days, as required by law.

14. Changes to the terms

We may update these Terms from time to time. We will provide at least 30 days' notice before material changes take effect. Your continued use of the platform after the effective date constitutes acceptance of the revised Terms.

15. Governing law and dispute resolution

These Terms are governed by the laws of [Jurisdiction, to be confirmed]. Any disputes shall first be attempted to be resolved amicably. If unresolved, disputes shall be subject to the exclusive jurisdiction of the courts of [Jurisdiction].
